Terms and conditions

Agreement between EuroCasinoBet Limited, a company incorporated in Malta with Registration No. C42708 and licensed by the Lotteries and Gaming Authority License No. LGA/CL1/424/2007 hereinafter referred to as "the Company",
and the Affiliate partner, hereinafter referred to as "the Affiliate".

Definitions

“Affiliate” means you, the person or entity, who applies to participate in the Affiliate Program.

“Affiliate Application” means the application below whereby the Affiliate applies to participate in the Affiliate Program.

“Affiliate Program” means the collaboration between the Company and the Affiliate whereby the Affiliate will promote the Company’s websites and create the Links from the Affiliate Website(s) to the Company’s websites and thereby be paid a commission as defined under this Agreement depending on the traffic generated to the websites subject to the terms and conditions of this Agreement and to the applicable product-specific Commission Structure.

“Affiliate Website(s)” means one or more websites on the Internet which are maintained and operated by the Affiliate.

“Company Websites” means the website with domain names www.eurocasinobet.com , www.afroditecasino.com , www.Vixcasino.com , www.eurovikingcasino.com

“Commission” means the percentage of the Net Revenue as set out in the Commission Structures

“Commission Structures” means the commission structures or any specific commission structure expressly agreed between the Company and the Affiliate.

“Net Revenue” means:
Casino Net Revenue (CNR)= Gross Revenue (GR) – Direct Cost (DR)

‘’Direct Cost’’ = Jackpot + Bonus + Refund (Chargeback) + Admin Fee

“Admin Fee” = Licenses Fee + Gaming Tax + Transfer Cost

“Company” means EuroCasinoBet Limited, a company incorporated in Malta with Registration No. C42708 and licensed by the Lotteries and Gaming Authority License No. LGA/CL1/424/2007

“Confidential Information” means any information of commercial or essential value for any of the Parties such as, but without limitation, financial reports and condition, trade secrets, know-how, prices, business information, products, strategies, databases, information about New Customers, other customers and users of the Company Websites, technology, marketing plans and manners of operation.

“General Terms and Conditions” means the general terms and conditions applying to your account and dealings with Affiliate Lounge as set out in this document.

“Intellectual Property Rights” means any copyrights, patents, trademarks, service marks, inventions, domain names, brands, business names, utility brands, rights in computer software, source codes, rights in databases and know-how, design rights, Confidential Information, registrations of the aforesaid and/or any other rights in the nature of the aforesaid.

“Links” means Internet hyperlinks from the Affiliate Website(s) to the Company Websites.

“New Customer” means a new first time customer of the Company having made a first deposit amounting to at least the applicable minimum deposit at the Company Websites’ betting account in accordance with the applicable terms and conditions of the Company Websites’, but excluding the Affiliate, its employees, relatives and/or friends.

“Parties” means the Company and the Affiliate (each a “Party”).

“Privacy Policy” means the Company’s privacy policy which can be found here.

Purpose

  1. The Company is an on-line betting company, licensed by the Maltese Lotteries and Gaming Authority and offers casino betting through its websites: www.eurocasinobet.com, www.eurovikingcasino.com, www.afroditecasino.com and www.vixcasino.com .
  2. The Affiliate maintains and operates one or more websites on the Internet (hereinafter collectively referred to as "the Website").
  3. This Agreement governs the terms and conditions relating to the promotion by the Affiliate of the Company's Websites, hereinafter referred to as "EuroCasinoBet.com, Vixcasino.com, EuroVikingCasino.com, AfroditeCasino.com", whereby the Affiliate will be paid a commission as defined under this Agreement depending on the traffic generated to EuroCasinoBet.com, EuroVikingCasino.com and AfroditeCasino.com,Vixcasino.com subject to the terms and conditions of this Agreement and to the applicable product- specific Commission Structure.
  4. This Agreement can be seen via these websites or on the website: www.euroaffiliatepro.com.
  5. The Company hereby informs the Affiliate and the Affiliate hereby accepts and understands that the Company’s Live Casino product is specifically left out of this Agreement and no commissions or any other payment whatsoever shall be due to the Affiliate for referrals to the Company’s Live Casino product.

Acceptance of Affiliate

  1. The Company shall evaluate the Affiliate Membership Form hereby submitted and shall inform the Applicant in writing (email) whether the Membership Form is accepted or not. The Company reserves the right to refuse any registration in its sole and absolute discretion.
  2. This Agreement shall enter into effect on the date the online Affiliate Registration Form is approved by the Company.
  3. The Applicant/Affiliate hereby warrants:
    • To be in the legal age in the applicable jurisdiction to agree to and enter into an Agreement.
    • To be competent and duly authorized to enter into binding Agreements for the Affiliate and/or the Website.
    • To be the proprietor of all rights, licenses and permits to market, promote and advertise EuroCasinoBet.com, EuroVikingCasino.com, AfroditeCasino.com and Vixcasino.com in accordance with the provision of this Agreement.
    • To be in comply with all applicable rules, laws and regulations in connection with the promotion of EuroCasinoBet.com, EuroVikingCasino.com, AfoditeCasino.com and Vixcasino.com.
    • To fully understand and accept the terms and conditions of the Agreement.

Responsibilities and Obligations of the Company

  1. The Company shall provide the Affiliate with all information necessary for the implementation of the link.
  2. The Company shall administrate the turnover generated via the links, record the net revenues and the total amount of commission earned via the link, provide the Affiliate with commission statistics, and handle all customer services related to the business. A unique tracking identification code will be assigned to all referred customers.
  3. The Company shall pay the Affiliate the amount due depending on the traffic generated subject to the terms and conditions of this Agreement.

Responsibilities and Obligations of the Affiliate

  1. The Affiliate hereby warrants and undertakes:
    1. To use its best efforts to actively and effectively advertise, market and promote EuroCasinoBet.com, EuroVikingCasino.com AfroditeCasino.com and Vixcasino.com as widely as possible in order to maximize the benefit to the Parties and that it will abide with the guidelines of the Company as may be forwarded from time to time and/or accessible online.
    2. To market and refer potential players to EuroCasinoBet.com, EuroVikingCasino.com, AfroditeCasino.com and Vixcasino.com at its own cost and expense. The Affiliate will be solely responsible for the distribution, content and manners of its marketing activities. All of the Affiliate's marketing activities must be professional, proper and lawful under applicable laws and negotiations and in accordance with this Agreement.
    3. To use only a link provided within the scope of the partner programme, otherwise no warranty whatsoever can be assumed for proper registration and sales accounting. Also, not to change or modify in any way any link or marketing material without prior written authorization from the Company.
    4. To be responsible for the development, the operation, and the maintenance of its web site as well as for all material appearing on the web site.
    5. To abide by the rules and principles contained in the European Gaming and Betting Association (EGBA) Code of Conduct. The EGBA Code of Conduct may be viewed at: http://www.eu-ba.org/en/about/conduct
  2. The Affiliate hereby warrants:
    1. That it will not perform any act which is libelous, discriminatory, obscene, unlawful or otherwise unsuitable or which contains sexually explicit, pornographic, obscene or graphically violent materials.
    2. That it will not actively target any person who is under the legal age for gambling.
    3. That it will not actively target any jurisdiction where gambling and the promotion thereof is illegal.
    4. That it will not generate traffic to EuroCasinoBet.com, EuroVikingCasino.com ,AfroditeCasino.com and Vixcasino.com by illegal or fraudulent activity, particularly but not limited to by:
      • Sending spam.
      • Incorrect meta tags.
      • Registering as a player or make deposits directly or indirectly to any player account through his tracker(s) for its own personal use and/or the use of its relatives, friends, employees or other third parties, or in any other way attempt to artificially increase the commission payable or to otherwise defraud the Company. Violation of this provision shall be deemed to be fraud.
      • That it will not present the Website in such a way that it might evoke any risk of confusion with EuroCasinoBet.com, EuroVikingCasino.com and AfroditeCasino.com and/or the Company or convey the impression that the web site of the contracting party partly or fully originated with EuroCasinoBet.com, EuroVikingCasino.com,Vixcasino.com and AfroditeCasino.com and/or the Company.

    3. Payment

    1. EuroCasinoBet.com agrees to pay the Affiliate commission calculated on the net revenue generated from customers referred by the Affiliate Website. The Commission shall be deemed to be inclusive of value added tax or any other tax if applicable.
    2. The commission shall be according to the table chart below on the net revenue.
    3. The commission will be given accordingly to your monthly net revenue made.
      (For example if you make this month between €2501-5000 you will receive 30% commission. If they next month you make €0 – 2500 you will receive 25% commission. The more revenue you make the bigger commission you will receive)
      €0 - 2500 25%
      €2501 - 5000 30%
      €5001 - 10000 35%
      €10001- 20000 40%
      €20001 - 30000 45%
      €30001 + 50%
    4. The commission is calculated at the end of each month and payments shall be performed by the 15th-20th of each calendar month, provided that the amount due exceeds minimum threshold €100. If the balance due is less than the Minimum Threshold, it shall be carried over to the following month and shall be payable when it collectively exceeds the Minimum Threshold. The Commission will be paid in whole amount, automatically, to Signature ‐Initials you if your required documents will be sent to us. No negative balance is carried to the following month.
    5. Payment of commissions shall be made as per the payment method chosen by the Affiliate in the application process. Fees associated with the form of payment (bank transfer, Moneybookers or NETELLER) can be reflected in commission withdrawal. If an error is made in calculating the commission, the Company reserves the right to correct such calculation at any time and will immediately pay out underpayment or reclaim overpayment made to the Affiliate.
    6. If the Affiliate disagrees with the balance due as reported, it shall within a period of thirty (30) days send an email to the Company and indicate the reasons of such dispute. Failure to send an email within the prescribed time limit shall be deemed to be considered as an irrevocable acknowledgment of the Balance due for the period indicated.
    7. The Affiliate shall be exclusively responsible for the payment of any and all taxes, levies, fees, charges and any other money payable or due both locally and abroad (if any) to any tax authority, department or other competent entity by the Affiliate as a result of the revenue generated under this Agreement. Incurred chargeback(s) through affiliate players will be charged into the next period of Affiliate partner account balance.
    8. After the registration (or till the first payment of commission) is needed to send us the signed agreement on each side together with ID, where we can see the address and the age, (for natural person) and ID with the commercial registration (for legal person). For the payment of commissions via bank transfer, it is necessary to send us a statement of the bank account (we need to see just your name, address and number of your bank account) and the Bank Transfer Authorization form (sent by our support department after your registration). Commissions will be paid after the verification of affiliate partner´s identity.

    Termination

    1. This Agreement may be terminated by either party by giving a thirty (30) days written notification to the other party. Written notification may be given by an email.
    2. The Company defines the right to close the Affiliate account in case of inactivity. It means in case of not advertising our Company on Affiliate partner´s website or in case of inactivity of Affiliate partner´s website. An informative email will be sent to Affiliate partner.
    3. Our Company reserves the right to terminate the account that violates the Terms and Conditions and the funds forfeited to EuroCasinoBet without any notice.
    4. The Contracting Parties hereby agree that on termination of this Agreement
      • The Affiliate must remove all references to EuroCasinoBet.com, EuroVikingCasino.com, AfroditeCasino.com and Vixcasino.com from the Affiliate's websites, and communications, irrespective of whether the communications are commercial or otherwise.
      • All rights and licenses granted to the Affiliate under this Agreement shall immediately terminate and all rights shall revert to the respective licensors, and the Affiliate will cease the use of any trademarks, service marks, logos and other designations vested in the Company
      • The Affiliate will be entitled only to those earned and unpaid commissions as of the effective date of termination; however provided, EuroCasinoBet.com may withhold the Affiliate's final payment for a reasonable time to ensure that the correct amount is paid. The Affiliate will not be eligible to earn or receive commissions after this date.
      • If this Agreement is terminated by the Company on the basis of an Affiliate's breach, the Company shall be entitled to withhold the Affiliate earned but unpaid commissions as of the termination date as collateral for any claim arising from such breach.
      • The Affiliate must return to the Company any and all confidential information (and all copies and derivations thereof) in the Affiliate's possession, custody and control.
      • The Affiliate will release the Company from all obligations and liabilities occurring or arising after the date of such termination, except with respect to those obligations that by their nature are designed to survive termination. Termination will not relieve the Affiliate from any liability arising from any breach of this Agreement, which occurred prior to termination and/or to any liability arising from any breach of confidential information even if the breach arises at any time following the termination of this Agreement. The Affiliate’s obligation of Confidentiality towards the Company shall survive the termination of this Agreement.

    Warranties

    1. The Affiliate expressly acknowledges and agrees that the use of the Internet is at its risk and that this Referral Program is provided "as is" and "as available" without any warranties or conditions whatsoever, express or implied. No guarantee is made that it will make access to its website possible at any particular time or any particular location.
    2. The Company shall in no event be liable to the Affiliate or anyone else for any inaccuracy, error or omission in, or loss, injury or damage caused in whole or in part by failures, delays or interruptions of EuroCasinoBet.com, EuroVikingCasino.com AfroditeCasino.com andVixcasino.com websites or the Affiliate Program.

    Confidentiality

    1. All information, including but not limited to business and financial, lists of customers and buyers, as well as price and sales information and any information relating to products, records, operations, business plans, processes, product information, business know-how or logic, trade secrets, market opportunities and personal data of the Company shall be treated confidentially. Such information must not be used for own commercial or other purposes or divulged to any person or third party neither direct nor indirectly unless the prior explicit and written consent of the Company has been obtained. This provision shall survive the termination of this Agreement.
    2. The Affiliate obliges himself not to use the confidential information for any purpose other than the performance of its obligations under this Agreement.

    Changes to this Agreement

    1. The Company reserves the right to amend, alter, delete or add to any of the provisions of this Agreement, at any time and at its sole discretion, without giving any advance notice to the Affiliate subject to the terms and conditions set out in this Agreement. Any such changes will be posted on euroaffiliatepro.com and sent via email to Affiliates.
    2. In case of any discrepancy between the meanings of any translated versions of this Agreement, the meaning of the English language version shall prevail.
